Terms & Conditions of Sale

1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Client”), and Changzhou Wansen New Materials Co., Ltd. (“Company”, “we”, “us”, or “our”), concerning your access to and use of our manufacturing services and products.

2. B2B COMMERCIAL NATURE

You acknowledge that you are purchasing our products (Paint Protection Film, TPU Color Film) for commercial, industrial, or resale purposes. We do not engage in retail sales to individual consumers for personal household use.

3. PAYMENT TERMS & TITLE

• Payment Methods: Unless otherwise agreed in writing, all orders require a 30% T/T deposit to initiate production, with the remaining 70% balance due prior to shipment release. Irrevocable L/C at sight is accepted for orders exceeding $50,000 USD.
• Retention of Title: Title to the goods shall remain vested in the Company and shall not pass to the Client until the purchase price for the goods has been paid in full and received by the Company.

4. SHIPPING & INCOTERMS

All international shipments are governed by Incoterms® 2020. Whether the term is EXW, FOB, CFR, or CIF, the Client acts as the Importer of Record and is solely responsible for all import duties, VAT, taxes, and customs clearance procedures in the destination country (e.g., Saudi Arabia, UAE, USA).

5. LIMITATION OF LIABILITY (IMPORTANT)

IN NO EVENT WILL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PRODUCTS. OUR LIABILITY SHALL UNDER NO CIRCUMSTANCES EXCEED THE ACTUAL AMOUNT PAID BY YOU FOR THE SPECIFIC BATCH OF DEFECTIVE PRODUCTS.

6. INTELLECTUAL PROPERTY

All content, trademarks (including "Wansen PPF"), logos, and technical data sheets provided on this Site are the intellectual property of Changzhou Wansen New Materials Co., Ltd. You are granted a limited license to use these materials solely for the purpose of promoting and selling our products in your authorized territory.

7. FORCE MAJEURE

We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

8. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and defined following the laws of the People's Republic of China. Any dispute arising out of or in connection with this agreement shall be submitted to the exclusive jurisdiction of the People's Court of Jintan District, Changzhou City, Jiangsu Province, China.
