1. Acceptance of Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client"), and Changzhou Wansen New Materials Co., Ltd. ("Company", "we", "us", or "our"), concerning your access to and use of our manufacturing services and products.

2. B2B Commercial Nature

You acknowledge that you are purchasing our products (Paint Protection Film, Color TPU, Industrial Films) for commercial, industrial, or resale purposes. We do not engage in retail sales to individual consumers for personal household use.

4. Shipping & Incoterms® 2020

All international shipments are governed by Incoterms® 2020 rules. Whether the agreed term is EXW, FOB, CFR, or CIF, the Client acts as the "Importer of Record" and is solely responsible for all import duties, VAT, taxes, and customs clearance procedures in the destination country globally.

5. Limitation of Liability (Important)

We shall not be liable to you or any third party for any direct, indirect, consequential, or incidental damages, including lost profits or loss of data arising from your use of the products. In no event will our liability exceed the actual amount paid by you for the specific batch of defective products.

6. Intellectual Property & Third-Party Trademarks

All content, trademarks (including "WSFILM™"), and logos are the intellectual property of Changzhou Wansen New Materials Co., Ltd.

Trademark Disclaimer: Lubrizol™, Argotec™, Covestro™, and Ashland™ are registered trademarks of their respective owners. These names are used herein solely to describe the authentic raw materials utilized in manufacturing our products. There is no official affiliation, sponsorship, or endorsement by these owners for Wansen.

7. Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, riots, embargoes, fires, floods, or shortages of transportation facilities and raw materials.

8. Governing Law and Jurisdiction

These terms shall be governed by and defined following the laws of the People's Republic of China. Any dispute arising from or related to this agreement shall be subject to the exclusive jurisdiction of the People's Court of Jintan District, Changzhou City, Jiangsu Province, China.
